IMPORTANT NOTICE: PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING, REGISTERING FOR, OR USING THE WURKSY AI PLATFORM AND ASSOCIATED SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Wurksy AI ("Wurksy", "we", "us", or "our") governing your use of our software, platforms, API integrations, and related tools (collectively, the "Service").

If you are using the Service on behalf of or under the direction of an educational institution (e.g., school, college, or university), you agree that these Terms operate concurrently with your institution's regulations, student codes of conduct, academic integrity guidelines, and IT policies.

1. Scope of Service and License Grant

Wurksy AI provides a secure, controlled AI workspace designed to assist in teaching, student learning, and academic integrity monitoring. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely for your academic, teaching, or administrative activities at your deploying institution.

2. Acceptable Use and Restrictions

You agree to use the Service in accordance with all applicable local, national, and international laws. Specifically, you agree that you will not:

• Academic Misconduct: Use the Service to bypass assignment policies, exceed prompt limits, or generate and submit content in violation of your educational institution's academic integrity rules.
• Interference: Attempt to disable, bypass, reverse-engineer, or interfere with any telemetry, tracking scripts, copy-paste monitors, character-count restrictions, or session-locking mechanisms built into the platform.
• Abuse: Use the Service to generate, host, or transmit content that is defamatory, harassing, discriminatory, obscene, or otherwise harmful.
• Security Threats: Upload viruses, malware, or execute scripts designed to exploit platform vulnerabilities or gain unauthorized access to other user accounts.
• Commercial Exploitation: Rent, lease, resell, distribute, or commercially exploit your access to the Service, or use our APIs to train competing machine learning models.

3. Intellectual Property Rights

All intellectual property rights in and to the Service-including but not limited to software code, design layouts, graphics, database designs, branding, logos, and algorithms-are owned by or licensed to Wurksy AI and are protected by copyright, trademark, and other proprietary laws.

User Content: Subject to your educational institution's regulations, you retain ownership of the original text, drafts, and coursework you write in the Service's editor. However, you grant us and your deploying institution a license to host, process, extract, transmit, and store your User Content and session logs for the sole purpose of delivering the Service, verifying academic integrity, and generating your AI Index.

4. Disclaimers and AI Inaccuracy Warning

Provided "AS IS": The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

AI Accuracy: The Service incorporates third-party artificial intelligence models. AI models can hallucinate, provide incorrect facts, suggest false references, or deliver biased statements. You are solely responsible for critical evaluation, fact-checking, and verifying the accuracy of any AI-generated outputs before relying on them in your academic submissions.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WURKSY AI, ITS DIRECTORS, EMPLOYEES, AGENTS, OR SUB-PROCESSORS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or educational opportunity.
• Any academic outcomes, including loss of marks, failing grades, disciplinary actions, or academic suspensions resulting from your use or misuse of the Service, or reliance on AI outputs.
• Any damages exceeding the greater of £100 or the total amount paid by you directly to Wurksy AI in the twelve (12) months preceding the claim.

Nothing in these terms limits or excludes liability for fraud, gross negligence, or death and personal injury caused directly by our negligence.

6. Suspension and Termination

We and your educational institution reserve the right to suspend or terminate your access to the Service immediately and without prior notice if we believe you have breached these Terms, violated academic integrity regulations, or if our agreement with your deploying institution expires or terminates.

Termination of your access will not affect your obligation to cooperate with your institution's academic integrity reviews or investigations.

7. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales to resolve any legal disputes arising from the Service.

8. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy and any agreements between us and your educational institution, constitute the entire agreement regarding your use of the Service.
